English Wine Academy Ltd – Terms of Use

Welcome to the English Wine Academy (“Academy”, “we”, “our”, “us”). These Terms of Use (“Terms”) govern your access to and use of our services, including our website, forms, communications, events, educational materials, and any information, content, or materials you provide to us (together, the “Services”). By using the Services or submitting any information to us, you agree to be bound by these Terms. If you do not agree, you must not use the Services or provide information.

1. Who We Are

English Wine Academy Ltd also trading t/a Drink English Wine is a company registered in England and Wales under company number 16045033, with its registered office at 12 Market Place, Woodstock, Oxfordshire, OX20 1TA. These Terms constitute a legally binding agreement between you (the “Producer”, “you”, “your”) and English Wine Academy Ltd. These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

2. Eligibility and Access

By engaging with the Academy, you represent and warrant that you are at least 18 years of age, or of legal age to enter into binding contracts under the laws of your jurisdiction; you are authorised to represent your winery, vineyard, organisation, or business; you have full rights to provide the information and content you share with us; and your use of the Services will comply with all applicable laws and regulations. We may refuse, suspend, or terminate access to the Services at our discretion, without liability, if you breach these Terms.

3. Your Content and Information

“Your Content” means any information, data, images, media, photos, logos, videos, documents, stories, descriptions, comments, or other materials you submit, upload, transmit, or otherwise provide to the Academy, whether via forms, email, events, or other channels. By providing Your Content, you grant English Wine Academy Ltd a fully paid, royalty-free, perpetual, irrevocable, worldwide, transferable, and sublicensable licence to use, reproduce, modify, adapt, translate, publish, distribute, perform, display, host, store, and otherwise exploit Your Content in any media now known or developed in future; create derivative works and compilations based on Your Content; and use Your Content for any purpose connected with the Academy, including but not limited to education, promotion, research, training, marketing, commercial use, partnerships, and public communications. You represent and warrant that you own or control all rights in Your Content; you have the necessary permissions and licences to grant us the rights set out above; and our use of Your Content will not infringe the rights of any third party. You waive any moral rights in Your Content to the maximum extent permitted by law. You acknowledge that you will not receive any compensation, royalty, or benefit from the Academy or third parties for the use of Your Content.

4. Community Standards and Acceptable Use

You agree not to provide any unlawful, defamatory, infringing, obscene, offensive, or misleading content; misrepresent your identity, role, or authority when engaging with the Academy; submit content you do not have the right to share; or interfere with or disrupt the Services, or attempt to gain unauthorised access to our systems. We reserve the right to remove, refuse, or restrict any content or participation at our sole discretion.

5. Third-Party Services and Partners

The Academy may work with partners, affiliates, and service providers to deliver the Services. We may share Your Content and information with these parties for purposes aligned with the Academy’s objectives. We are not responsible for the conduct, policies, or practices of third-party services or partners, and your interactions with them are at your own risk.

6. Intellectual Property

All intellectual property rights in the Academy’s Services, including courses, materials, branding, logos, digital assets, and content, belong to English Wine Academy Ltd or our licensors. You may not copy, reproduce, distribute, modify, or create derivative works from our content without prior written consent. “English Wine Academy” and associated marks are trademarks of English Wine Academy Ltd. You may not use these without our written permission.

7. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason including breach of these Terms. All provisions relating to licence of Your Content, disclaimers, limitation of liability, and indemnity shall survive termination.

8. Disclaimers of Warranties

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to accuracy, completeness, or reliability of the Services or content; fitness for a particular purpose; and uninterrupted, secure, or error-free operation. We do not warrant that the Services will meet your expectations or achieve any specific results.

9. Limitation of Liability

To the maximum extent permitted by law, English Wine Academy Ltd, its directors, employees, and partners shall not be liable for any indirect, incidental, consequential, punitive, or special damages; loss of profits, business, goodwill, or data; costs of substitute services; or claims arising from Your Content, third-party services, or your breach of these Terms. Nothing in these Terms excludes liability which cannot be excluded under English law, including liability for death or personal injury caused by negligence or for fraud.

10. Indemnity

You agree to indemnify, defend, and hold harmless English Wine Academy Ltd, its directors, employees, agents, and partners from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of Your Content, your use of the Services, or your violation of these Terms or any applicable law.

11. Changes to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability.

12. Changes to the Terms

We may revise these Terms from time to time. Updated versions will be posted on our website with a new “last updated” date. Continued use of the Services constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Miscellaneous

These Terms, together with our Privacy & Data Use Policy, constitute the entire agreement between you and us. If any provision is held invalid, the remaining provisions shall remain in full force. Failure to enforce a provision shall not constitute a waiver. We may assign or transfer our rights under these Terms without restriction; you may not assign your rights without our consent. Headings are for convenience only and shall not affect interpretation.
